Trading Investment Plan

Indemnification
To the fullest extent permitted by applicable law, the Investor irrevocably agrees to indemnify, defend, and hold harmless the Trading Investment Manager, its affiliates, directors, officers, employees, and agents from and against any and all claims, actions, proceedings, losses, damages, liabilities, costs, and expenses of any nature whatsoever (including, without limitation, reasonable attorneys fees and expenses), whether direct or indirect, arising out of or in connection with:

(a) any market-related losses, depreciation in value, or failure to achieve anticipated returns
(b) any investment decisions, acts, or omissions taken or made by the Trading Investment Manager in good faith and in accordance with this Agreement and
(c) any market volatility, market downturns, systemic events, or economic conditions

Such indemnification shall apply whether or not such losses were foreseeable and shall survive the termination of this Agreement. Notwithstanding the foregoing, the Trading Investment Manager shall not be indemnified for losses finally determined by a court of competent jurisdiction to have resulted any negligence.

Investor Obligations
The Investor shall:

(a) provide accurate KYC information
(b) not interfere in day-to-day trading investment decisions
(c) not demand returns inconsistent with market realities or this Agreement
(d) acknowledge and sign the terms & condition on the website whether such agreement occurs in writing or through any other form or medium of communication.

Payout of Funds
Payouts are subject to:

(a) a minimum notice period of 30 days
(b) settlement timelines dependent on market liquidity
(c) possible early-exit penalties if applicable.

Confidentiality
Both parties shall keep all trading investment and personal information confidential.

Dispute Resolution
Any dispute arising out of this Agreement shall be resolved through:

1) Negotiation
2) Mediation
3) Arbitration (if necessary) under Nigerian law

Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.

Acceptance
By agreeing to these Terms and Conditions, the Party(ies) hereby acknowledge and consent to be bound by all provisions of this Agreement, whether such agreement is effected through the website, in writing, or by any other form or medium of communication, upon the deposit of funds into Akinyele Oluwale & Co. Investment Ltd. for the purpose of the Trading Investment Plan.
